1.2 Service Agreements
Specific deliverables, timelines, pricing, and scope for each engagement will be outlined in a separate Statement of Work (SOW), proposal, or service contract. In the event of any conflict between these Terms and a specific SOW, the SOW shall govern only with respect to the conflicting provision.
1.3 Revisions
Revision allowances vary by service type and are specified in each applicable SOW or service contract. Revisions requested beyond the agreed-upon limit will be billed at the Agency's then-current hourly rate. The Agency reserves the right to treat materially different revision requests as new scope, subject to additional fees.
1.4 Changes to Scope
Any changes to agreed-upon scope must be documented in writing and approved by both parties via a written change order or amendment. The Agency is not obligated to commence out-of-scope work until a change order is executed and applicable fees are confirmed.
2. FEES, PAYMENT TERMS & BILLING
2.1 Fees
All fees for services are set forth in the applicable SOW, proposal, or service agreement. Fees are subject to change upon written notice. Continued engagement following notice of a fee change constitutes acceptance of the updated fees.
2.2 Payment Terms
Payment terms are determined on a per-contract basis and will be expressly stated in each SOW or service agreement. Unless otherwise specified in writing: invoices are due upon receipt or as specified in the applicable agreement; late payments may be subject to a late fee of 1.5% per month on outstanding balances, or the maximum rate permitted by Florida law, whichever is less; and the Agency reserves the right to pause or suspend services for accounts with overdue balances exceeding fifteen (15) days.
2.3 Deposits & Retainers
Certain services may require a deposit, retainer, or upfront payment as specified in the applicable agreement. Deposits are non-refundable unless otherwise expressly agreed in writing. Retainer fees are billed in advance and are not refundable for unused services within a billing period unless the Agency fails to perform agreed services.
2.4 Disputed Invoices
Any invoice disputes must be submitted in writing within seven (7) business days of the invoice date. Undisputed portions of invoices remain due on the original payment date. Failure to dispute an invoice within this period constitutes acceptance of the charges.
2.5 Taxes
Client is responsible for all applicable sales, use, or other taxes related to services rendered, except for taxes based on the Agency's net income.
3. INTELLECTUAL PROPERTY
3.1 Work for Hire & Ownership
Upon receipt of full payment for all applicable fees, Aeros Media Group LLC assigns to the Client all rights, title, and interest in the final deliverables specifically created for the Client under a given SOW, to the extent such deliverables constitute works made for hire under applicable law.
3.2 Agency Retained Rights
The Agency retains ownership of all pre-existing materials, tools, methodologies, templates, processes, and proprietary systems used in the creation of deliverables. The Agency grants the Client a non-exclusive, royalty-free license to use such pre-existing materials solely as incorporated into the final deliverables.
3.3 Third-Party Assets
Where deliverables incorporate third-party licensed assets (stock photography, fonts, music, etc.), the Client's use of such assets is subject to the applicable third-party license terms. The Agency is not responsible for additional licensing fees required for uses beyond the originally agreed scope.
3.4 AI-Generated Content
Deliverables that incorporate AI-generated content are provided as-is. The Agency makes no representation regarding the copyrightability of AI-generated outputs under applicable law. The Client assumes all risk associated with the use of AI-generated materials and agrees to indemnify the Agency for any claims arising from such use.
3.5 Portfolio Rights
The Agency reserves the right to display and reference work created for the Client as part of its portfolio, case studies, and marketing materials, unless the Client provides written notice requesting confidentiality prior to project commencement.
4. CLIENT RESPONSIBILITIES
4.1 Accurate Information
The Client agrees to provide accurate, complete, and timely information, materials, approvals, and access necessary for the Agency to perform services. Delays caused by the Client's failure to provide required information may result in project timeline adjustments and/or additional fees.
4.2 Client Approvals
The Client is responsible for reviewing and approving all deliverables in a timely manner. Written approval (including email) shall constitute Client's acceptance of the deliverable. The Agency shall not be liable for errors or omissions in approved materials.
4.3 Legal Compliance
The Client represents and warrants that all materials, information, and content provided to the Agency are lawful, do not infringe any third-party rights, and comply with applicable laws and regulations. The Client shall indemnify and hold harmless the Agency from any claims arising from Client-provided materials.
4.4 Account Access
Where the Agency requires access to Client-owned platforms, accounts, or credentials, the Client is responsible for granting appropriate access levels and maintaining the security of shared credentials. The Agency shall use such access solely for the purpose of performing agreed services.
5. DATA SECURITY & CLIENT INFORMATION
5.1 Secure Storage
Aeros Media Group LLC stores all Client information, files, and documents in a secure, encrypted workspace and drive. Access to Client data is restricted to authorized Agency personnel involved in the delivery of the applicable services. The Agency employs industry-standard security measures to protect Client data against unauthorized access, loss, or disclosure.
5.2 Client Responsibility for Provided Data
The Client is responsible for ensuring that any information or materials submitted to the Agency are transmitted through secure channels and that the Client retains independent backups of all materials provided. The Agency is not liable for data loss resulting from circumstances outside of its reasonable control.
5.3 Data Retention
The Agency will retain Client files and data for the duration of the active service relationship and for a reasonable period thereafter. Clients may request deletion of their data in writing following termination of services, subject to any legal or regulatory retention obligations.
6. CONFIDENTIALITY

7. TERM AND TERMINATION
7.1 Term
These Terms remain in effect for the duration of any active service agreement between the parties and for any period thereafter in which obligations survive termination.
7.2 Termination for Convenience
Either party may terminate an active service agreement upon thirty (30) days prior written notice to the other party, unless a different notice period is specified in the applicable SOW. The Client remains responsible for all fees incurred and non-cancellable commitments made by the Agency on the Client's behalf through the effective date of termination.
7.3 Cancellation of Monthly Services via Client Portal
Clients subscribed to month-to-month services may cancel those services at any time by submitting a cancellation request through their Aeros Media Group client portal. Cancellations must be submitted prior to the next billing cycle to avoid charges for the following month. Cancellation of monthly services does not automatically terminate any separate project-based agreements, retainers, or SOWs that may be active at the time of cancellation. The Agency will confirm receipt of all cancellation requests in writing.
7.4 Termination for Cause
Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within ten (10) business days after receiving written notice of the breach.
7.5 Effect of Termination
Upon termination: (a) all outstanding fees become immediately due; (b) the Agency shall deliver all completed and in-progress work product to the Client, subject to payment of all outstanding amounts; and (c) each party shall return or destroy the other party's Confidential Information.

THE AGENCY'S TOTAL CUMULATIVE LIABILITY TO CLIENT FOR ANY CLAIMS ARISING FROM OR RELATED TO ANY SERVICE AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO THE AGENCY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. INDEMNIFICATION

12.3 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
